This License governs your use of the Uncle Mini Finance Tracker software (the "Software"). It is part of the Terms of Use. In case of conflict between this License and the Terms of Use, the Terms of Use prevail.
When you purchase Uncle Mini Finance Tracker, you receive a perpetual, non-exclusive, non-transferable license to use the Software under the conditions described below.
Your license is intended for use by you and members of your team. We monitor license activations to identify unusual or excessive use that suggests license sharing beyond a single team. Examples of activity that may be considered unusual include:
If we detect unusual activity, we may, at our discretion: refuse further activations on the affected license, disable the license for any future activation, or take other reasonable steps to protect against abuse.
In keeping with the local-first architecture of the Software, we do not re-verify licenses after a workspace has been activated. Workspaces that are already activated at the time we take action will continue to function. However, no further activations on a deactivated license will succeed.
If you believe action has been taken on your license in error - for example, because your team has a legitimate need for activations beyond the standard threshold - contact support@unclemini.com and we will review the request.
Your license includes 12 months of updates from the date of purchase. During this period, you receive access to all new features, bug fixes, and improvements.
After 12 months, the Software continues to function, and you keep access to the version you have. To continue receiving updates beyond 12 months, a separate upgrade purchase may be offered when a major new version ships. We are under no obligation to release such versions.
The Software remains the intellectual property of its creator. This License grants you the right to use the Software, not ownership of it. All rights not expressly granted to you in this License are reserved.
This License does not affect your ownership of the data you create using the Software. Your financial data is yours. It stays in the folder you choose and is not accessible to Uncle Mini.
Uncle Mini Finance Tracker is available for a 14-day free trial with full functionality. Trial use is subject to these same restrictions on redistribution, reverse-engineering, and rebranding.
You are responsible for the security of your license key. You must not publish, share, sell, or otherwise distribute your license key outside your team. If you become aware that your license key has been compromised or shared outside your team, contact support@unclemini.com promptly. Uncle Mini may take any reasonable action to protect against abuse of compromised keys, including the actions described in Section 3 (Unusual Activity).
This License terminates automatically if you materially breach its terms. On termination, you must stop using the Software and destroy any copies in your possession, with the exception of any backups stored by third-party cloud services outside your control.
Sections 2 (the "may not" restrictions), 3 (Unusual Activity), 5 (Ownership), 8 (License Key Security and Use), 10 (No Warranty), 11 (Limitation of Liability), and 13 (Feedback) survive termination.
The Software is licensed "as is" and "as available", without warranty of any kind, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Software will be uninterrupted, error-free, or compatible with any specific hardware, browser, or other software.
Without limiting the foregoing, Uncle Mini specifically disclaims any warranty that the Software's tax, VAT, accounting, or financial calculations are accurate, complete, current, free from rounding errors, or suitable for any specific filing, regulatory submission, audit, business decision, or jurisdiction. The Software is a planning and overview tool. It is not accounting software, bookkeeping software, or a substitute for professional accounting, tax, legal, or financial advice. All calculations are estimates based on simplified formulas and on the data you enter. See Section 8 of the Terms of Use for full details on Tax, VAT, and Financial Calculations.
To the maximum extent permitted by applicable law, in no event shall we be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or in connection with this License or your use of the Software, including but not limited to loss of data, loss of profits, business interruption, loss of business opportunity, tax penalties or interest, missed VAT refunds or credits, audit costs, accountant or legal fees, or regulatory fines. Our total cumulative liability under this License shall not exceed the amount you paid for the Software in the 12 months preceding the event giving rise to the claim. The Software incorporates open-source and third-party components, each governed by its own license. A list of these components and their licenses is available on request to support@unclemini.com. Nothing in this License grants you any rights to those third-party components beyond what their respective licenses provide.
If you provide Uncle Mini with feedback, suggestions, bug reports, or other input regarding the Software ("Feedback"), you grant Uncle Mini a perpetual, worldwide, royalty-free, transferable, sub-licensable license to use, reproduce, modify, and incorporate the Feedback in the Software and other Uncle Mini products, without obligation or compensation to you. Feedback is provided voluntarily and is not confidential.
This License is governed by the laws of Iceland, without regard to its conflict-of-law principles. Any disputes arising out of or in connection with this License shall be subject to the exclusive jurisdiction of the courts of Iceland.
